This Merchant Agreement Disclosure (“Disclosure”) is provided by CheckMate Visions LLC (“CheckMate Visions”, “we”, “us”, or “our”) in connection with our merchant services and consulting offerings. Please read this disclosure carefully, as it outlines the scope of our services and the nature of your merchant account relationship.
1. Role of CheckMate Visions
CheckMate Visions is an independent sales organization (ISO), reseller, and consultant specializing in connecting businesses with the most suitable merchant service providers, hardware systems (e.g., Clover, SmartTab, Tabletop), and banking partners. We do not process, hold, or settle funds on behalf of your business.
All processing activity is governed by the terms and conditions of the acquiring bank or third-party payment processor you are approved with. You will receive a separate Merchant Processing Agreement (MPA) directly from the processor or bank for execution.
2. No Financial Liability
CheckMate Visions does not assume responsibility or liability for:
Transaction failures, chargebacks, or reserve holds
Delays in funding or hardware delivery
Changes to your processing rates, terms, or account status after approval
All financial services are subject to risk reviews and compliance policies set forth by the processor and bank, which may include credit checks, underwriting, or document verification.
3. Residuals and Compensation
In some cases, CheckMate Visions may receive compensation, commissions, or residual income based on your processing activity or hardware purchase. This does not affect your rates or fees unless otherwise disclosed.
We may also offer rate reviews, equipment leasing, or consulting services at no direct cost to you, depending on the terms of our relationship with the processor.
4. Merchant Responsibilities
You are responsible for:
Providing accurate business and financial information during application and onboarding
Reviewing and agreeing to the full Merchant Processing Agreement (MPA) from the processor
Complying with PCI-DSS standards and local/state/federal regulations related to card acceptance
Notifying your processor or bank directly if any issues arise with funding, disputes, or compliance
5. Equipment and Software Use
If you acquire equipment (e.g., Clover devices, SmartTab terminals) through CheckMate Visions or a third-party vendor:
You are bound by that vendor’s hardware agreement, warranty, and return policies
CheckMate Visions is not liable for hardware failure, lost data, or service disruptions caused by third-party software/apps
6. Updates and Amendments
This Disclosure may be updated periodically. The most current version will be available on our website, and your continued use of our services constitutes acceptance of any changes.
